CA to acquire Concord Communications

HYDERABAD: Computer Associates (CA) International Inc., provider of management software  is all set to acquire Concord Communications, which focuses on performance and network management services. The company is expected to close the acquisition in the next 60 days.





Speaking about the acquisition, CA senior VP and CTO Yogesh Gupta said, “With consolidation of products as the focal point, we are acquiring companies with products

and solutions that go well with CA's product portfolio.
Concord's performance and network management offerings
will further strengthen CA's Enterprise IT Management

business unit.”






According to CA's website, the company on April 7, 2005
had announced that it has signed a definitive agreement to

acquire Concord Communications, provider of network

service management software solutions, in an all-cash

transaction valued at $17 per fully diluted common share,

or approximately $330 million. CA will also assume

approximately $20 million in net debt from Concord for a

total purchase price of $350 million.






Concord's operations will be integrated into CA's
Enterprise Systems Management business unit. It is

anticipated that the vast majority of Concord's

approximately 640 employees will remain with CA. The

acquisition is subject to customary regulatory approvals

and the approval of Concord's shareholders.
