SAN JOSE, CALIFORNIA: Semiconductor Corporation, based in Chandler, Arizona, the United States, has completed the acquisition of PulseCore Holdings (Cayman) in an all-cash transaction for an initial consideration of about $17 million.

PulseCore Holdings (Cayman), located in Campbell, California, the United States, is a fabless semiconductor firm and also a provider of standard and custom high-speed and low-power analog and mixed-signal silicon solutions.

The products of PulseCore Holdings include EMI reduction, clocking, power management as well as system-monitoring ICs.

Alliance Semiconductor had, in 2002, bought PulseCore Holdings. However, in 2006, Alliance divested itself of all semiconductor operations and sold its analog unit to a group of investors led by Shah Capital Partners. The reincorporated unit is called PulseCore Semiconductor.

In a statement, Semiconductor Corporation said that its total revenues in the third quarter of 2009 came to $472.9 million – up by about 13% from the second quarter of 2009.

In the third quarter of 2009, Semiconductor Corporation reported GAAP net income worth $29.9 million, or $0.07 per fully diluted share. This GAAP net income includes net charges of $41.0 million, or $0.09 per fully diluted share, from special items.

In the second quarter of 2009, the company had suffered a GAAP net loss of $3.0 million, or $0.01 per fully diluted share.
